Terms of Use

1. About these terms

These Terms of Use (the “Terms”) apply to adverdex.com (the “Site”) and the Adverdex waitlist. The Site is operated by Adverdex (“Adverdex”, “we”, “us”), 82 Shan Sam Pai, Lung Shan Tsuen, Tai Po, New Territories, Hong Kong.

By using the Site or joining the waitlist you accept these Terms. If you do not accept them, please do not use the Site.

The Adverdex product itself is not offered on this Site yet. When it launches, it will be provided under separate terms of service, which you will be asked to accept before using it.

2. Who can use the Site

You must be at least 18 years old and able to enter into a binding contract. Adverdex is built for marketers, founders, agencies and other professionals; by joining the waitlist you confirm you are using it for business or professional purposes.

3. The waitlist and early access

• Joining the waitlist is free and does not oblige you to buy anything.
• A place on the waitlist is not a guarantee of access. We open access in batches, at times and in an order we decide, and we may change the launch date, the features or the plans.
• “Founding perks” and other offers mentioned on the Site are not a binding offer until we announce their details in writing, together with any conditions that apply.
• You must give your own, valid email address. One signup per person; signups made with bots or false details may be removed.
• You may leave the waitlist at any time by unsubscribing or writing to support@adverdex.com.

4. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in breach of these Terms;
• submit someone else's email address or any false information;
• scrape, crawl or copy the Site's content with automated means, other than standard search engine indexing;
• interfere with the Site's security or operation, test its vulnerabilities without our written permission, or overload it;
• upload or send malicious code, spam or anything that infringes the rights of others.

5. Intellectual property

The Site, including its text, design, graphics, logos, the Adverdex name and the grading method, belongs to Adverdex or its licensors and is protected by the Copyright Ordinance (Cap. 528), the Trade Marks Ordinance (Cap. 559) and other laws. You may view the Site for your own information; you may not reproduce, distribute or create derivative works from it without our written permission.

Advertisements shown as examples on the Site are publicly available ads and remain the property of their respective owners. We show them only to illustrate, review and comment on them. Brand names and trade marks belong to their owners and their use does not imply any endorsement. If you own content shown on the Site and want it removed, write to support@adverdex.com.

Adverdex is an independent service and is not affiliated with, endorsed or sponsored by Meta Platforms, Inc. Facebook and Instagram are trade marks of Meta Platforms, Inc.

6. No professional advice

Grades, rankings, breakdowns and tips shown on the Site or in our emails are our opinions, based on public information, and are provided for general information only. They are not marketing, legal, financial or investment advice and do not guarantee any result for your own ads. You are responsible for your advertising decisions and for complying with the advertising rules that apply to you.

7. Disclaimer

We work to keep the Site accurate and available, but it is provided free of charge, “as is” and “as available”. To the extent permitted by law, we make no warranties or representations that the Site will be uninterrupted, error-free or free from harmful components, or that its content is complete, accurate or up to date.

8. Limitation of liability

To the extent permitted by law:

• we are not liable for any indirect or consequential loss, or for any loss of profits, revenue, business, goodwill or data, arising from your use of the Site;
• our total liability to you in connection with the Site and the waitlist is limited to HK$100.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the laws of Hong Kong, including the Control of Exemption Clauses Ordinance (Cap. 71).

9. Third-party sites

The Site links to third-party sites such as Instagram. We do not control them and are not responsible for their content or privacy practices; their own terms apply when you visit them.

10. Privacy and emails

Our Privacy Policy explains how we handle your personal data, including the emails you agree to receive when you join the waitlist. You can unsubscribe from them at any time using the link in every email.

11. Changes and suspension

We may update these Terms from time to time; the date at the top of this page shows the latest version, and the Terms in force when you use the Site apply. We may change, suspend or close the Site or the waitlist, or remove a signup that breaks these Terms, at any time.

12. General

• If any part of these Terms is found invalid or unenforceable, the rest remains in force.
• If we do not enforce a right straight away, we have not given it up.
• These Terms and the Privacy Policy are the whole agreement between you and us about the Site and the waitlist.
• You may not transfer your rights under these Terms. We may transfer ours to a successor of our business.
• A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce or enjoy the benefit of any of them.
• If these Terms are translated, the English version prevails.

13. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Please contact us first so we can try to resolve any concern informally. Any dispute that we cannot resolve that way is subject to the exclusive jurisdiction of the courts of Hong Kong.
